We advise our clients on the formation of partnerships and corporations, for instance, a subsidiary in the form of a German “GmbH” or “limited liability company”, assist in mergers and acquisitions (share deal, asset deal) and the acquisition or transfer of shares and participations. We work together with public notaries and the Registrar of Companies to make sure that all the necessary formalities are meticulously met. If necessary, we cooperate with other consultants, for instance, when it comes to intricate tax law questions. In addition to setting up a German company as a subsidiary, we support our clients by drafting the relevant agreements, for instance, shareholder agreements, management contracts, distribution agreements, and so forth.
